Educational goal:

Introduction with the basic legal Institutes of importance to business law and international trade law and services. Mastering the basic relationship between national law and international commercial and trade law with a particular emphasis on the EU law in this area.

Educational outcome:

Acquisition of basic knowledge about the status and organization of companies in the country and the European Union as well as the unification of the international trade law which allows the use of this rules in practice.

Course content:

1. Legal Status of the companies: a) a general part: basic concepts for the determination of companies and their significance, b) special part: the legal status of all types of companies (partnership, limited partnership, a company with limited liability and the stock company. 2.Harmonisation procces in the area of business law in the European Union: a) fundamental freedoms of the EU acquis, b) the principles of the EU acquis (freedom of establishment of companies and service providers and national principles), c) new forms of companies in the European Union under the legal framework of company law (EU directive) 3 International trade law with special emphasis on international purchase: a) basic concepts of contract law, b) the purchase contract, c) the United Nations Convention on the International Sale of Goods - The Vienna Convention. 4.International payments: a) bank transfer, b) letters of credit c) bank guarantee.

Teaching methods:

Lectures are conducted with the application of the legal-normative method as well as the Ex-catedra method when students get acquainted with new concepts and institutes. Interaction between lecturers and students in the form of interviews by passed method units with the analysis of concrete problems. Case studies, team presentations and discussions process using the legal-analytical method.
