The objective of the course is to acquire advanced knowledge about corporations, their management structures and decision-making processes in them. The deepening of knowledge and skills of students in the subject area is realized through understanding the principles of work and decision making in the governing bodies, followed by relations between owners, management and supervisory bodies, and especially their responsibilities, which is a requirement for more efficient management of business systems.

By successfully completing all obligations and passing exams, students are able to recognize and understand the governance structure and the mutual relationship of governance bodies within corporations, as well as to participate in the management process in business systems from the position of an engineer who is on the managerial or position of analysts in the management bodies of the company.

Introduction to Corporate Law and Corporate Governance. Legal structure and status ofl companies. Corporate governance structure. Theoretical framework and basic principles of corporate governance of existing corporate systems and their comparison. Competencies and structure of corporate governance bodies as well as their responsibilities in the governance process (management structure). OECD principles of corporate governance. The role of the Assembly in corporate governance. Role and responsibility of management / administration in corporate governance. The role of supervisory authorities in corporate governance. Legal framework and practice of corporate governance in Serbia. Case studies

Lectures are auditing, with the application of normative-legal methods and active participation of students in mastering method units. Case studies, team presentations and discussions are addressed using the legal-analytical method.
