Educational goal:

Training of students for acquiring knowledge in the field of business law. Gaining basic knowledge about the legal principles of organizing economic activity through legal-organizational forms of companies, as well as contractual relations between economic entities in national legal frameworks and comparison with European rules of companies.

Educational outcome:

Students will be trained to understand the legal status of companies as well as contractual relationships arising in their business. The acquired knowledge can be used in further education and in a better understanding of related subjects and in similar subjects from the field of business law. They acquire competences that can be applied in the practical work and understanding of business relations between business entities.

Course content:

Introduction - Law and other social rules. Legal norms. Legal sources. Interpretation of legal norms. Legal subjects. Legal relations. Exercise and protection of individual rights. Part 2 - Legal status of companies - General part: Business entities - basic concepts and historical development. Companies - concept and common rules for all companies. - Special part: Legal status of companies for all legal and organizational forms, especially: Partnership Society. Limited Partnership. Limited Liability Company. Joint Stock Company. Third part:- Commercial Agreements - General part: Concept and significance of the contract of the trade in goods. Completion of the contract for goods traffic. The means of securing the execution of the contract. Changes and termination of contracts. Fulfillment of contract and responsibility for failure to fulfill.- Special part: Purchase contract . Contracts of Shipment. Storage Agreement. Freight Goods Contract. Franchise Agreement. Leasing Contract. Basic securities of Bills, checks and commodities of value.

Teaching methods:

In the lecturing proces of the Business law course is used normatively-legal method and legal-analytical method for the students preparation for seminar papers and practice
